TERMS & CONDITIONS FOR USE OF SHUNYA.AI PLATFORM

These Terms & Conditions (“Terms”) govern your use of our AI platform (“Shunya.AI”) and other services, along with any associated software applications and websites (all together, “Services”) provided by Shiprocket Limited, a company incorporated under the Companies Act, 1956, with its registered office at Plot No. B, Khasra No. 360, Sultanpur, M.G. Road, New Delhi – 110030, India, and its corporate office at Plot No. 416, Phase III, Udyog Vihar, Gurgaon, Haryana – 122002 (“Company” or “Shiprocket”).

Shunya.AI is available via web or mobile interfaces.

  • By accessing or using either or both the Offerings, you signify that you have read, understood and agree to be bound by these Terms of Use. If you do not agree, please do not access and/or use the Offerings.
  • These Terms of Use will be treated as an ‘electronic record’ under the Information Technology Act, 2000 and the rules made thereunder. They are published in accordance with Rule 3(1) of the Information Technology (Intermediary Guidelines and Digital Media Ethics Code) Rules, 2021. You acknowledge that this electronic record is generated by a computer system and does not require any physical or digital signatures.
  • For the purposes of these Terms of Use, “we”, “our” and “us” shall mean the Company and “you” and “your” shall mean a user of the Offerings (“User”).

1. ELIGIBLE USERS

  • You represent and warrant that you have the legal capacity and authority to agree to these Terms of Use on behalf of yourself or any entity you represent, duly authorized as required.
  • You shall not access and/or use the Offerings if you are not competent to contract under applicable laws.
  • Persons below the age of 18 shall use the Service only under strict guidance and supervision of parents/guardians.

2. DESCRIPTION OF SERVICES

Shunya.AI provides a suite of AI-powered solutions designed to streamline business operations, including:

  • Intelligent AI Chat: Handle business inquiries with conversational AI delivering quick, accurate, personalized responses.
  • Content Creation: Generate compelling product listings and marketing materials.
  • Business Process Automation: Automate routine workflows to increase efficiency.
  • Commerce, Logistics & Financial Support: Optimize commerce activities, logistics management, and financial operations.

3. USER OBLIGATIONS

  • Lawful Use: Users must use the platform in compliance with all laws and ethical standards. Malicious use is prohibited.
  • Accuracy of Information: Users are responsible for providing truthful and complete information.
  • Respect for Intellectual Property: Users must respect others’ rights and not infringe copyrights or trademarks.
  • No Harmful Content: Users shall not disseminate harmful, abusive, or offensive content.
  • Confidentiality and Security: Users must safeguard account credentials and notify the Company of breaches.
  • Compliance with Platform Policies: Users must adhere to all guidelines and instructions provided by the Company.
  • Data Responsibility: Users acknowledge that data submitted may be processed as per the Privacy Policy.

4. OWNERSHIP OF THE PLATFORM AND SERVICES

The Company owns all intellectual property related to the Offerings. Users are granted a non-exclusive, non-transferable, revocable license for their use only, and must not duplicate, distribute, or exploit these rights without prior permission.

5. USER CONTENT

Users may provide input (text, image, voice, etc.) which will generate output using AI algorithms. Users retain ownership of their content but must ensure it does not violate laws or these Terms. Content may be used by the Company to maintain, improve, and comply with law. Users consent to such use, as per the Privacy Policy.

6. PRIVACY POLICY

Use of the Offerings is subject to the Company’s Privacy Policy available at [Insert Link]. Users must review it periodically.

7. RIGHTS RESERVED BY THE COMPANY

The Company may investigate violations, cooperate with authorities, and enforce these Terms. Deleted accounts will have data removed as required by law.

8. INTEGRATED SERVICES

Shunya.AI may include integrated features from Shiprocket’s suite of services. By using Shunya.AI, you acknowledge such integrations and responsibilities.

9. THIRD PARTY PRODUCTS

The Product may include third-party software. The Company is not responsible for these products or their content.

10. PLATFORM FEES AND PAYMENTS

  • Users must provide accurate billing details and are responsible for all applicable taxes.
  • Payments may be processed via third-party gateways.
  • The Company may modify fees with prior notice.

11. INDEMNITY

Users agree to indemnify the Company against any liabilities arising from their use of the Offerings or breach of these Terms. This obligation survives these Terms.

12. LIMITATION OF LIABILITY

The Company disclaims liability to the fullest extent permitted by law. In no event shall the Company be liable for damages exceeding the fees paid in the month prior to liability arising.

13. TERMINATION

The Company may suspend or terminate access to the Platform at its discretion. Users remain bound by these Terms for prior use.

14. FORCE MAJEURE

The Company is not liable for delays caused by factors beyond its control.

15. AMENDMENTS

The Company may amend these Terms at any time. Continued use constitutes acceptance of changes.

16. ASSIGNMENT

Users may not assign rights without consent. The Company may assign its rights to any third-party.

17. AGENCY

Nothing in these Terms creates any agency, partnership, or employment relationship between you and the Company.

18. GOVERNING LAW AND JURISDICTION

These Terms are governed by Indian law. Disputes shall be resolved in courts located in New Delhi, India.

19. ELECTRONIC COMMUNICATION

By accepting these Terms, you consent to receive electronic communications from the Company.

20. MISCELLANEOUS PROVISIONS

These Terms are the entire agreement. Invalid provisions will be severed without affecting the rest.
